WHEN INSTITUTIONS OVERLAP, DATES MATTER.
When it is an open and shut case, someone will have to walk. See the walkers in the image. Who goes first ?
Here are the details:
March 2016.
N. Chandrasekaran is appointed a non-official, part-time Director on the Central Board of the Reserve Bank of India.
October 2016.
He joins the Tata Sons Board.
January 2017.
He becomes Chairman of Tata Sons.
March 2018.
He is re-appointed to the RBI Central Board.
March 2020.
Another two-year term.
Read that chronology slowly.
RBI Board.
Tata Sons Board.
Tata Sons Chairman.
The point is not to suggest wrongdoing.
The point is that it is far worse:
What should India’s institutional architecture look like when the same individual occupies positions of significance in a major corporate group and the country’s central banking institution?
Chandrasekaran’s RBI role was a non-official, part-time directorship, not an executive regulatory position. That distinction matters.
But so does the principle of institutional distance. Because institutions are not merely buildings, titles and legal powers.
They are also about trust, perception, independence and the confidence that decisions are made without conflicts — or even the appearance of conflicts.
And then comes another date:
2022 — Tata Sons is classified by RBI as an NBFC–Upper Layer.
Suddenly, the chronology becomes even more interesting. This is why governance cannot be reduced to:
“Was it legally permitted?”
The deeper question for a Samartha Bharat is:
Was the institutional architecture strong enough to eliminate doubt?
A mature economy needs more than strong companies.
It needs strong institutions — and clear boundaries between them.
When we speak of institutional strengthening, we often speak about building institutions capable of carrying a billion-plus people’s aspirations.
That requires something very simple:
Power must be accountable.
Institutions must be independent.
And governance must be designed not merely to prevent wrongdoing, but to prevent reasonable doubt.
Sometimes, before asking difficult questions, we only need to do one thing:
Put the dates next to each other.
And the whole picture emerges.
But have not revealed it in this post.
If the walk doesn’t happen by 30.9.26, watch this space. Think ladies first.
